How many venture rounds are never announced?

Startups file a notice when they raise, usually within weeks of the first sale. Announcing the round is optional. Across 2,294 venture-backed rounds filed since 2 January 2025 and checked on the web, 48% of those filed at least three months ago still had no public announcement.

The head start

Of 894 announced rounds with a date, 342 were filed before the announcement. The filing came a median of 23 days first, and half of those leads fell between 7 and 51 days. 491 were announced first, a median of 18 days before the filing, and 61 on the day of the filing.

How this was measured

Rounds are the offerings of Delaware corporations, not funds or vehicles, with a director who is named on a venture fund's filing. Each round is checked on the web for an announcement under the company's legal and brand names; a press release, news story or company or investor post about the round counts.
